ATTENTION: As a Third Party Administrator for a contractual end user client ("Client") of Associates for International Research, Inc. ("AIRINC"), you must read and agree to the following Terms of Use before accessing or utilizing information or services available through the Website of AIRINC.

Description of Services
If, and to the extent that, Client has so authorized, you may access and order, as a Third Party Administrator for such Client, data elements and other information as outlined in the agreement between AIRINC and Client (the "Client Agreement") in order to permit you to provide administrative services to such Client.

As the authorized Third Party Administrator for the Client, you may access and order lists, charts, tables, data and the like, including Commodities and Services Allowances, which are made available in accordance with requirements established by the Client pursuant to the Client Agreement.

Third Party Acknowledgement and Agreement
By your indication of agreement below, you acknowledge and agree that the data services and information provided to you by AIRINC, or acquired by you from or through use of the AIRINC Website, as described above and pursuant to the Client Agreement, (the "Client Data and Information") are for the sole and exclusive use and benefit of Client and the Client’s affiliates, if any, as described in the Client Agreement. You agree to keep all such Client Data and Information strictly confidential and not to disclose any of such Client Data and Information to any person other than as is necessary in order to perform your administrative services to Client. You agree that the Client Data and Information will not be ordered or utilized by you in any way to provide services to any party other than the Client.

Billing
By acknowledging and agreeing to these terms of use, you further agree that invoices for the services that you utilize through the AIRINC Website may be directed to you as well as to the Client.

General
This Agreement shall be governed by the laws of the Commonwealth of Massachusetts, and any disputes arising under or in connection with it shall be resolved by the courts of such Commonwealth to whose jurisdiction you hereby irrevocably submit. This Agreement shall inure to the benefit of and shall be binding upon the parties hereto and their respective successors and assigns. This Agreement may not be assigned by you without the express written consent of AIRINC. In the event that AIRINC shall be required to enforce this Agreement against you by court proceedings or otherwise, and whether in seeking injunctive relief or otherwise, AIRINC shall be entitled to recover from you, in addition to its damages, its costs of enforcing this Agreement, including reasonable attorneys fees and court costs.

( "AIRINC" or "we") owns and operates this Site on behalf of itself and its affiliated companies (the "AIRINC Companies") to provide information and online services to its client users (the "Service"). GPDR Compliance

• AIRINC complies fully with the GDPR data protection regulations. Protecting the personal information of our employees and our customers’ employees is a high priority at AIRINC. As part of our compliance, AIRINC has a standard Data Protection Agreement we adhere to for all customers, which includes the EU Standard Contractual Clauses in the wake of the July 16, 2020 the European Court of Justice decision to invalidate the EU-US Privacy Shield framework.

• The types of personal data that are covered by the GDPR regulations include those listed in “What Personal Information About Customers Does AIRINC Gather?” section of the AIRINC Privacy Notice.

As mentioned within this Privacy Notice, AIRINC will collect the information that is provided by our customers via the use of AIRINC services, solely for the purpose of fulfilling those services.

Choice

AIRINC offers individuals the opportunity to choose (opt out) whether their personal information is to be disclosed to a third party or to be used for a purpose that is materially different from the purposes for which it was originally collected or subsequently authorized by the individuals.

Any use of personal data for new purposes that have not been listed in the Privacy Notice will require AIRINC to obtain explicit consent from the EU citizen or individual whose data has been collected to determine if it is appropriate to use their data in that fashion that may involve disclosure of said information to a third party.

Access

EU citizens and/or individuals whose data AIRINC collects have the right to access personal information about them that AIRINC holds and to be able to correct, amend, or delete that information where it is inaccurate, or has been processed in violation of the Principles, except where the burden or expense of providing access would be disproportionate to the risks to the individual’s privacy in the case in question, or where the rights of persons other than the individual would be violated. We will investigate and attempt to resolve complaints and disputes in a manner that complies with the principles described in this Notice.

AIRINC has further committed to refer unresolved GDPR complaints to the European DPA, an alternative dispute resolution provider located in the EU. AIRINC has a requirement to disclose personal information in response to lawful requests by public authorities, including to meet national security or law enforcement requirements.
